Tutor (Vendor) Terms of Service

Effective Date: May 6, 2026

Welcome to Smarter Today Inc. (“Smarter Today”, “we”, “us”, or “our”). These Tutor Terms of Service (“Terms”) govern your participation as a Tutor (also referred to as “Vendor”) on our platform at joinsmartertoday.com (the “Platform”). By registering as a Tutor, you agree to be bound by these Terms.

These Terms constitute a legally binding agreement between you and Smarter Today Inc., a company incorporated in Ontario, Canada.

1. Acceptance of Terms

By creating a Tutor account or listing a service on the Platform, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not register as a Tutor.

You must be at least 16 years of age to register as a Tutor on the Platform.

2. Independent Contractor Status

You acknowledge and agree that you are an independent contractor and not an employee, agent, partner, or joint venturer of Smarter Today Inc. As an independent contractor:

You are solely responsible for your own taxes, including income tax and HST/GST obligations under applicable Canadian law
You are not entitled to any employee benefits, including employment insurance, pension, or workers compensation
You retain full control over how you deliver your tutoring services
Smarter Today Inc. does not direct or control the manner in which you provide your services

It is your responsibility to consult with a tax professional regarding your obligations as a self-employed individual in Canada.

3. Tutor Eligibility and Profiles

Any individual may apply to become a Tutor on the Platform. While verified credentials and qualifications are not required, they are strongly encouraged and will be highlighted on your profile as a trust signal to Clients.

By creating a Tutor profile, you represent and warrant that:

All information provided in your profile is accurate, current, and complete
You have the knowledge, skills, and experience to deliver the services you list
You will promptly update your profile if any information changes
You will not misrepresent your qualifications, experience, or certifications

4. The 15-Minute Introductory Session

Smarter Today Inc. strongly encourages all Tutors to offer a complimentary 15-minute introductory session to prospective Clients. This session allows both parties to determine compatibility before committing to paid bookings.

While introductory sessions are not mandatory, Tutors who offer them may benefit from higher booking rates and improved Client satisfaction.

5. Commission and Payouts

Smarter Today Inc. charges a platform commission of 20% on all completed paid sessions. This means you will receive 80% of the session fee charged to the Client.

For example: if you charge $100 for a session, Smarter Today Inc. retains $20 and you receive $80.

Payouts are subject to the following:

Payouts are issued on a regular schedule as communicated through the Platform
You are responsible for providing accurate banking or payment information
Smarter Today Inc. is not responsible for delays caused by incorrect payment information or third-party processor issues
All payout amounts are in Canadian Dollars (CAD) unless otherwise agreed

Smarter Today Inc. reserves the right to adjust the commission rate with reasonable notice to active Tutors.

6. Session Delivery and Standards

As a Tutor, you are expected to deliver your services professionally and to the best of your ability. You agree to:

Be punctual and prepared for all scheduled sessions
Communicate clearly and respectfully with Clients at all times
Deliver sessions as described in your listing
Notify Clients as soon as possible if you need to cancel or reschedule
Maintain appropriate professional boundaries, particularly when working with Minor clients

Sessions involving Minors (clients under 18) must be conducted with particular care. A parent or guardian must be aware of the session. You must not engage in any communication with a Minor outside of the Platform without parental consent.

7. Refunds and Disputes

Smarter Today Inc. handles all refund requests through an internal investigation process. As a Tutor, you agree to:

Cooperate fully with any investigation, including providing session notes and communication records
Accept the outcome of Smarter Today Inc.’s investigation as final and binding
Understand that approved refunds may result in a clawback of the corresponding payout amount

Our goal is to be fair to both Clients and Tutors in all disputes.

8. Cancellation Policy

If you need to cancel a scheduled session, you must notify the Client through the Platform as early as possible. Repeated cancellations or no-shows may result in:

Reduced visibility of your profile on the Platform
Suspension or termination of your Tutor account

9. Code of Conduct

You agree to conduct yourself professionally and respectfully at all times. You must not:

Harass, threaten, or engage in inappropriate conduct with any Client
Solicit Clients to conduct paid sessions outside of the Platform to avoid platform fees
Share or use any Client’s personal information beyond delivering your tutoring services
Engage in any discriminatory conduct under Ontario’s Human Rights Code
Provide services in subject areas in which you are not qualified

Violations may result in immediate suspension or permanent termination of your account.

10. Intellectual Property

You retain ownership of all original materials and content you create. By posting content on the Platform, you grant Smarter Today Inc. a non-exclusive, royalty-free license to display and use that content for the purposes of operating and promoting the Platform.

11. Privacy and Data

You agree to handle all Client information in accordance with applicable privacy laws including PIPEDA and Ontario’s privacy legislation. You must not collect, store, or use Client personal information beyond what is necessary to deliver your tutoring services.

12. Termination

Smarter Today Inc. reserves the right to suspend or terminate your Tutor account for:

Violation of these Terms
Repeated Client complaints or poor reviews
Fraudulent or misleading conduct
Any conduct that may harm the reputation of the Platform

You may also terminate your account at any time by contacting us. Any outstanding payouts for completed sessions will be processed per our standard schedule.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Smarter Today Inc. shall not be liable for any indirect, incidental, or consequential damages arising from your participation on the Platform. Our total liability shall not exceed the total commissions earned from your sessions in the 30 days prior to the claim.

14. Changes to Terms

Smarter Today Inc. reserves the right to update these Terms at any time. We will notify registered Tutors of material changes via email or through the Platform. Your continued use of the Platform constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
